Agreement to Terms

These Terms of Service ("Terms") govern two things. The first is the TeeWire website at teewire.com, including every page, subdomain, feed, and file we publish on it (the "Site"). The second is TeeWire's golf management software, including the tee sheet, point of sale, online booking, and website products (the "Service").

By accessing or using the Site, you agree to be bound by these Terms, whether or not you hold an account with us and whether or not you are a TeeWire customer. By accessing or using the Service, you agree to be bound by these Terms and by any separate written agreement between you and TeeWire. If you disagree with any part of these Terms, you may not access the Site or the Service.

Accessing the Site by automated means constitutes acceptance of these Terms by the person or organization that operates, directs, or benefits from that access.

Use License

Permission is granted to temporarily use TeeWire's Service for your golf course operations. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the Service
• Use the Service for any commercial purpose other than managing your golf course
• Attempt to reverse engineer or decompile the Service
• Remove any copyright or proprietary notations
• Transfer the Service to another person or entity

Ownership of Site Content

The Site and everything published on it are owned by TeeWire or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. TeeWire reserves all rights not expressly granted in these Terms.

Protected material includes, without limitation:

• All text, copy, headlines, product descriptions, and editorial content
• The visual design, layout, page structure, navigation, and user interface of the Site
• The selection, arrangement, sequence, and organization of content on the Site, including the structure of our product pages, our comparison and migration content, our pricing presentation, and our frequently asked questions
• Photographs, product screenshots, illustrations, icons, and diagrams
• Source code, stylesheets, scripts, structured data, and schema markup
• The TeeWire and CourseLogix names and logos, and our product names, taglines, and slogans, whether or not registered as trademarks

You may read the Site, and you may quote brief excerpts for commentary, comparison, news reporting, or research, provided you attribute the material to TeeWire and link to the page you are quoting. No other use is permitted without our prior written consent.

Automated Access and Data Collection

We welcome legitimate search and answer engines. A crawler that identifies itself accurately, publishes verifiable source addresses, and obeys the directives we publish at teewire.com/robots.txt is expressly permitted to crawl and index the Site.

All other automated access is prohibited. Without our prior written consent, you may not:

• Use any robot, spider, scraper, crawler, headless browser, or other automated means to access, copy, harvest, extract, or monitor the Site or any part of it
• Ignore or circumvent the directives published in our robots.txt file, or misrepresent your identity in order to bypass any rate limit, access control, or bot protection we apply
• Copy, mirror, cache, or republish the Site or any substantial portion of it, including by building a systematic archive of our pages
• Extract our content into a database, dataset, index, or corpus, except as strictly needed to operate a permitted search or answer engine
• Impose an unreasonable load on our infrastructure

These restrictions apply whether you access the Site yourself, direct another party to do so, or use a third-party service, agent, or model to do so on your behalf. You are responsible for the automated access you commission.

Artificial Intelligence and Model Training

TeeWire publishes machine-readable signals at teewire.com/robots.txt stating, for each category of automated use, whether we permit it. Those signals are our authoritative grant of rights for automated use of the Site and are incorporated into these Terms by reference. Where the signals and these Terms appear to differ, the signals govern the specific uses they name.

Except to the extent those signals expressly permit it, TeeWire reserves all rights in the Site for text and data mining, and you may not use the Site or its content to train, fine-tune, ground, benchmark, evaluate, or otherwise develop any machine learning model, large language model, or generative artificial intelligence system.

This reservation is made for the purposes of, and constitutes an express reservation of rights under, applicable text and data mining exceptions, including Article 4(3) of Directive (EU) 2019/790. It applies to commercial and non-commercial use alike.

Nothing in this section restricts an AI assistant or answer engine from retrieving a TeeWire page in order to answer a question about TeeWire and citing us as the source. That use is permitted and encouraged.

Competitive Use

You may not use the Site, or any content, design, or information obtained from it, as an input to developing, marketing, or operating a product or service that competes with TeeWire. Without limiting that restriction, you may not:

• Copy or closely imitate the layout, page structure, navigation, or visual design of the Site for a competing offering
• Reproduce our copy, product descriptions, feature lists, positioning statements, or frequently asked questions, in whole or in substantial part, with or without paraphrasing
• Reproduce our photographs, product screenshots, illustrations, or diagrams
• Use our structured data, schema markup, or content organization as the basis for your own
• Use an artificial intelligence system to generate a page, site, or body of copy that is substantially similar to ours

Independently building a competing product is lawful and we take no position on it. This section is limited to the use of our published material as an input to that work.

Enforcement and Remedies

We monitor the Site for unauthorized copying.

You acknowledge that a breach of the Ownership of Site Content, Automated Access and Data Collection, Artificial Intelligence and Model Training, or Competitive Use sections would cause TeeWire harm that money alone cannot adequately repair, and that TeeWire is entitled to seek injunctive relief in addition to any other remedy available to it. TeeWire may also block your access to the Site, by address, network, or account, without notice.

To request permission for a use these Terms do not allow, or to report infringement of your own work appearing on the Site, write to [email protected].

Account Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as necessary
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Payment Terms

The Service is provided on a subscription basis. By subscribing, you agree to:

• Pay all fees associated with your subscription
• Automatic renewal of your subscription unless canceled
• Payment processing provided as part of the TeeWire service
• No refunds for partial subscription periods unless required by law

Daily Reconciliation and Settlement Responsibility

You acknowledge and agree that, as the merchant of record for transactions processed at your golf course, you are solely responsible for the daily reconciliation of all end-of-day settlements, including credit card, gift card, and cash transactions. This responsibility includes, without limitation:

• Reviewing and reconciling daily close, batch, and settlement reports generated by the Service
• Verifying each day that credit card batches have settled correctly in the payment processing provided through TeeWire
• Reconciling gift card sales, redemptions, and outstanding liability balances
• Reconciling cash drawer counts against recorded cash transactions
• Identifying and promptly reporting any discrepancies, errors, voids, refunds, chargebacks, or unsettled transactions
• Maintaining records of daily reconciliation in accordance with applicable law and the requirements of the payment processing provided through TeeWire

TeeWire provides reporting tools to support your reconciliation obligations, but TeeWire is not responsible for performing reconciliation on your behalf. TeeWire shall not be liable for any losses, shortages, missed deposits, unsettled batches, fraudulent transactions, gift card discrepancies, cash variances, or any other financial harm arising from or related to your failure to reconcile your daily close reports in a timely manner. Failure to identify and report discrepancies within a reasonable time may result in your inability to recover funds from payment processors, banks, or other third parties, and TeeWire shall bear no responsibility for such unrecovered amounts.

Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period.

SMS Terms and Conditions (TCPA Compliance)

By agreeing to receive text messages in connection with the TeeWire Services, you agree to these SMS Terms.

User Content

You retain ownership of any content you upload or create using the Service. By using the Service, you grant TeeWire a license to use, store, and process your content solely for the purpose of providing the Service to you.

Prohibited Uses

You agree not to use the Site or the Service:

• In any way that violates any applicable law or regulation
• To transmit any malicious code or viruses
• To interfere with or disrupt the Site or the Service
• To attempt to gain unauthorized access to the Site or the Service
• To collect or harvest information about our customers, staff, or golfers
• In any manner prohibited by the Ownership of Site Content, Automated Access and Data Collection, Artificial Intelligence and Model Training, or Competitive Use sections above
• For any fraudulent or illegal purpose

Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Limitation of Liability

To the maximum extent permitted by law, TeeWire shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Indemnification

You agree to indemnify and hold harmless TeeWire and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service or violation of these Terms.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TeeWire operates, without regard to its conflict of law provisions.
